This is a beta draft written for the Florida launch and has not yet been reviewed by an attorney. It will be replaced by a reviewed version before general availability.

These Terms govern your use of Odomo, software for people who rent out cars. They are a beta draft, written plainly on purpose, and will be replaced by attorney-reviewed terms before general availability. By creating an account or using Odomo you agree to them.

1. Who these Terms are between

"Odomo", "we" and "us" mean the operator of the Odomo service. "You" means the person or business that creates an Odomo workspace (a "Host") and anyone the Host invites into it (co-hosts and inspectors).

Renters are not parties to these Terms. A renter's relationship is with the Host who rents them a car. Odomo provides the tools; the Host is the merchant of record for every rental, deposit, agreement and message.

You must be at least 18 and able to enter a binding contract. Odomo is a business tool and is not offered to consumers for personal, non-commercial use.

2. Beta service

Odomo is in beta. Features may change, break, or be withdrawn without notice, and we may reset or migrate data with reasonable warning. We work hard to keep it stable, but during the beta you should keep your own records of anything you cannot afford to lose.

Beta pricing, plan names (Solo, Fleet, Pro) and included limits are provisional. We will give at least 30 days' notice before any charge that is not already shown in the app.

3. Accounts, workspaces and your team

One person creates the workspace and is its Owner. The Owner can invite co-hosts, who run day-to-day operations, and inspectors, who can only run vehicle inspections. Each person needs their own login; sharing passwords is not allowed.

You are responsible for everything done in your workspace by anyone you invite, and for removing people when they leave. Two-factor authentication is available in Settings and we recommend it for every Owner.

Keep your login secure and tell us promptly if you believe it has been compromised.

4. What Hosts are responsible for

Odomo is not a car rental company, a peer-to-peer car sharing program, an insurer, a payment processor, a telephone company or a law firm. It is software. You remain solely responsible for your rental business, including:

  • Complying with the laws of the state where you operate (for the beta, Florida), including licensing, registration, insurance, taxes, consumer-protection and rental-car rules that apply to you.
  • The condition, safety, insurance and lawful use of every vehicle you list.
  • Screening renters, deciding whom to rent to, and honoring fair-lending and anti-discrimination laws.
  • The accuracy of your listings, prices, deposits, mileage limits and rules.
  • Obtaining any consent you need from renters before collecting their information, texting or calling them, verifying their identity, or recording or transcribing a call with them.
  • Refunds, deposits, damage claims, disputes and chargebacks with your renters.
  • Any rental agreement you use, including the template Odomo generates (see section 8).

5. Renter information

When you enter a renter's details, or a renter gives them to you through your booking page, texts, calls or the signing page, you decide why that information is collected and what it is used for. In privacy terms you are the controller and Odomo processes it on your instructions.

You agree to collect only what you need, to use renter information only to run your rental business, to keep it confidential, to honor renters' reasonable requests to see or delete it, and to delete it from Odomo when you no longer need it. Our Privacy Policy explains what Odomo stores and which providers help us do so.

Driver's license numbers, license photos, identity-verification results and signed agreements are sensitive. Only owners and co-hosts can see them, and Odomo will never sell or use them for its own purposes.

6. Payments, deposits and Stripe

Card payments are processed by Stripe. To accept payments you open a Stripe connected account through Odomo and agree to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service. Odomo is a platform on that account; money paid by renters goes to your Stripe balance and is paid out to your bank by Stripe. Odomo never holds your funds.

Stripe's processing fees come out of each payment. Odomo does not currently take a percentage of your rentals; if that changes we will show the fee in the app before it applies.

A deposit link holds a car once the renter pays it. Whether and when a deposit is refunded is between you and your renter under your rental agreement; Odomo gives you a Refund button but the decision, and any dispute or chargeback that follows, is yours.

You are responsible for sales, tourist, rental-car surcharge and other taxes on your rentals. Odomo's finance export is a bookkeeping aid, not tax advice.

7. Texting, phone numbers and calls

Odomo Pro can provision a phone number for your workspace through our telephony provider, Callnode. The number is licensed to you for as long as your subscription and its monthly fee continue; it is not yours to port away during the beta, and we may reclaim it if the workspace is closed or the fee is unpaid.

You may only text or call people who have asked to hear from you, for example by contacting your number, booking through your page, or giving you their number for a rental. No marketing blasts, no purchased lists. Anyone who replies STOP must not be messaged again; Odomo and Callnode enforce this and we may suspend messaging that draws complaints. Standard carrier message and data rates may apply to renters.

The AI receptionist may transcribe calls so that a written record lands in your Messages. Florida and several other states require all parties to consent to recording or transcription. The receptionist announces this at the start of a call; if you turn that announcement off or handle calls yourself, obtaining consent is your responsibility.

These numbers are for your rental business and do not support emergency calling. Do not give them to anyone as a number to reach in an emergency; they cannot connect to 911.

8. AI features and generated documents

Odomo includes an assistant that answers questions and takes actions in your workspace when you ask, and, on Pro, a receptionist that answers renters by text and phone on your behalf. These use large language models from OpenAI.

AI can be wrong. It may misread a date, quote the wrong price, or misunderstand a renter. You are responsible for what happens in your workspace, including bookings, deposit links and messages the AI creates, and you should review its work the way you would a new employee's. The receptionist identifies itself as an AI when asked and hands off to you for damage, refunds, complaints and legal questions; do not configure it to pretend to be a person.

The rental agreement template in Odomo was drafted with the help of AI as a starting point. It is not legal advice and has not been reviewed by an attorney unless you have had it reviewed. You must have a licensed attorney in your state review any agreement before you rely on it with renters, and you are responsible for the agreement you use.

AI risk scores for renters are suggestions based on the history in your own workspace. Do not use them as the sole basis for refusing someone, and never in a way that discriminates on a protected characteristic.

9. Driver's license verification

When you turn on license verification, renters are asked to photograph their license and take a selfie through Stripe Identity. Stripe performs the check under its own terms and privacy policy. Odomo receives and stores only the result: verified or not, the name, date of birth and document type and state on the document, and any flags such as an expired document or a name that does not match. Odomo does not receive or store the document images or the selfie.

Some states regulate biometric identifiers. By turning this feature on you confirm that you may lawfully ask renters in your market to verify this way and that you will give renters any notice your state requires. A verification result is a screening aid, not a guarantee of who someone is.

10. Electronic signatures and agreement records

Agreements sent from Odomo are signed electronically. Renters draw a signature, confirm they have read the agreement, and Odomo records the signer's name, license details they enter, the time, and the IP address and device used. Electronic signatures are generally valid under the federal E-SIGN Act and Florida's Uniform Electronic Transaction Act; it is your responsibility to use them in a way your state and your attorney accept.

In the Odomo app, the agreement page hides its contents from screenshots and screen recordings and logs attempts. This is a deterrent, not a guarantee: a renter can always read the agreement, photograph a screen with another device, or view it in a browser where blocking is impossible. The renter receives a shortened signed summary by email; give them a full copy on request where the law requires it.

11. Your data

You own the information you put into Odomo: your fleet, renters, bookings, messages, photos, videos and documents. You give us the limited license we need to store, process, back up and display it in order to run the service for you, including passing it to the providers named in our Privacy Policy for that purpose only.

You can export renters, fleet and finances as CSV at any time from Settings. If you close your workspace we delete its data within 30 days, except records we must keep for legal, tax or dispute purposes, which Stripe and we retain for as long as the law requires.

We do not use your data to train AI models and we do not sell it.

12. Acceptable use

Do not use Odomo to break the law, to rent cars you have no right to rent, to harass or defraud anyone, to send unsolicited messages, to probe or overload the service, to reverse-engineer it, or to build a competing product from it. Do not upload content you do not have the right to use. We may suspend or close a workspace that does any of these things, and we will tell you why unless the law prevents it.

13. Plans and fees

During the beta the Solo and Fleet plans are free. Pro adds the AI receptionist and is charged as shown in the app, plus the monthly cost of each phone number and usage-based costs for calls and AI minutes, which we display before you turn them on. Stripe's processing fees are separate and are set by Stripe.

Fees are billed in U.S. dollars, are non-refundable except where the law requires, and may change with 30 days' notice. If a payment fails we may downgrade the workspace after notice; your data stays exportable.

14. Odomo's intellectual property

Odomo, its software, design, wordmark and logo belong to us and our licensors. These Terms do not transfer any of it to you. Feedback you give us may be used to improve the product without obligation to you.

15. Third-party services

Odomo relies on providers to run: Supabase for the database and file storage, Stripe for payments and identity verification, Callnode for phone numbers, texting and calls, OpenAI for AI features, Resend for email, and the U.S. National Highway Traffic Safety Administration's public vehicle database for make, model and VIN lookups. Each has its own terms, and where you deal with one directly (Stripe especially) those terms bind you. We are not responsible for their outages or errors, though we will always try to help.

16. No warranty

Odomo is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the service will be uninterrupted, error-free, or that AI outputs, verification results, risk scores or generated documents will be accurate or suitable for your purpose.

17. Limitation of liability

To the fullest extent the law allows, Odomo and the people who build it are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost rentals, lost data, vehicle damage, personal injury, or disputes with renters, arising from your use of the service. Our total liability for any claim relating to Odomo is limited to the greater of the fees you paid us in the 12 months before the claim or one hundred U.S. dollars.

Some states do not allow certain limitations, so parts of this section may not apply to you.

18. Your responsibility to us

You will defend and indemnify Odomo against claims, losses and expenses (including reasonable legal fees) arising from your rental business, your vehicles, your renters, your messages and calls, your use of renter information, your agreements, or your breach of these Terms or the law.

19. Ending the relationship

You can close your workspace at any time from Settings or by writing to us; export your data first. We can suspend or close a workspace for breach of these Terms, for non-payment after notice, if required by law or a provider, or, during the beta, if we discontinue the service, in which case we will give at least 30 days' notice and time to export.

Sections that by their nature should survive, including your data license for records we must keep, disclaimers, liability limits, indemnity and governing law, survive closure.

20. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute that we cannot resolve informally will be brought exclusively in the state or federal courts located in Broward County, Florida, and you consent to their jurisdiction. Before filing, either side will give the other written notice and 30 days to work it out.

21. Changes to these Terms

We may update these Terms as the product and the law change. For material changes we will notify workspace Owners by email or in the app at least 14 days before they take effect; continuing to use Odomo after that date means you accept them. The date at the top shows the current version.
